Welcome to Mad Visions. By engaging our services, you agree to comply with and be bound by the following terms and conditions. Please review these terms carefully. If you do not agree to these terms, you should not use our services.

2. Services Provided

Mad Visions is a Toronto-based AI-powered design firm offering the following services:

  • Branding & Rebranding (logo design, brand guidelines, identity systems)

  • Website Design & Development (custom sites, WordPress, Wix Studio, Shopify)

  • AI Solutions (chatbots, AI apps, automation tools)

  • AI Visuals (AI-generated imagery, product visuals, illustrations)

  • AI Videos (promos, reels, ads, talking avatars, brand mascots)

  • Social Media Management (content creation, posting, engagement, analytics)

  • Digital Marketing (email marketing, Meta marketing, SEO)

  • Marketing Collaterals (print, digital, and physical brand materials)

3. Project Engagement & Process

3.1 Consultation: All projects begin with a discovery consultation to understand your goals, vision, and requirements.

3.2 Proposal & Agreement: Following consultation, we provide a detailed proposal including scope, timeline, deliverables, and pricing. Work begins only after mutual agreement and deposit payment.

3.3 Timeline: Project timelines vary based on scope:

  • Small projects (AI visuals, social posts): 1-3 weeks

  • Medium projects (branding, website): 4-8 weeks

  • Enterprise projects: Custom timeline based on scope

4. Payment Terms

​4.1 Deposit: A 50% deposit is required before project kickoff. This deposit is non-refundable once design work begins.

4.2 Final Payment: The remaining 50% is due upon project completion and before final file delivery.

4.3 Payment Methods: We accept credit cards, e-transfers, and wire transfers.

4.4 Late Payments: Invoices not paid within 14 days of the due date may incur a late fee of 5% per month.

5. Revisions & Modifications

5.1 Included Revisions: Each project includes 2-3 rounds of revisions (as specified in the project proposal) to ensure perfect alignment with your vision.

​5.2 Additional Revisions: Revisions beyond the agreed-upon rounds will be billed at our hourly rate or as a separate project scope.

5.3 Scope Changes: Any changes to the original project scope may result in additional fees and timeline adjustments.

6. Intellectual Property & Ownership

6.1 Client Ownership: Upon full payment, all final designs, assets, and deliverables become the property of the client. You have full rights to use, modify, and distribute the work.

6.2 Before Payment: Until full payment is received, Mad Visions retains all rights to the work produced.

6.3 Portfolio Use: Mad Visions reserves the right to display completed work in our portfolio, website, social media, and promotional materials unless otherwise agreed upon in writing.

6.4 Third-Party Assets: Any third-party fonts, stock images, or assets used in the project may require separate licensing by the client.

7. Cancellation & Refund Policy

7.1 Client Cancellation: Clients may cancel a project at any time. However, the 50% deposit is non-refundable once design work has begun.

7.2 Refunds: Refunds are only available if the project is cancelled before any design work has commenced.

7.3 Mad Visions Cancellation: Mad Visions reserves the right to cancel a project if the client violates these terms or engages in unethical behavior. In such cases, any payments made will not be refunded.

8. Client Responsibilities

8.1 Content & Materials: Clients are responsible for providing all necessary content, images, text, and brand materials in a timely manner. Delays in providing materials may extend project timelines.

8.2 Feedback & Approval: Clients must provide clear, constructive feedback within agreed-upon timeframes. Delayed feedback may result in project delays.

8.3 Third-Party Services: For website projects, clients are responsible for purchasing and managing domain names, hosting, and any third-party integrations (unless included in the project scope).

9. Limitation of Liability

Mad Visions is not liable for:

  • Any indirect, incidental, or consequential damages arising from the use of our services

  • Loss of revenue, data, or business opportunities

  • Third-party service outages (hosting, domain registrars, social media platforms)

  • Errors or omissions in client-provided content

  • Changes to algorithms, policies, or features of third-party platforms (Google, Meta, etc.)

Our total liability shall not exceed the total amount paid by the client for the specific project in question.

10. Confidentiality

Mad Visions agrees to keep all client information, business plans, and proprietary materials confidential. We will not share or disclose any sensitive information without the client's written consent, except as required by law.

11. Governing Law

These terms and conditions are governed by the laws of the Province of Ontario, Canada. Any disputes arising from these terms shall be resolved in the courts of Ontario.

12. Changes to Terms

Mad Visions reserves the right to update or modify these terms at any time. Clients will be notified of any significant changes. Continued use of our services after changes are made constitutes acceptance of the new terms.
